Mr. Mello is our chairman of the board of directors. He is also director and chairman of Cosan Limited. He holds a degree in mechanical engineering from the Escola Politécnica of the University of São Paulo (1972). Mr. Mello has more than 30 years of experience in the management of large companies. He has also served as general director and chairman of the board of directors of Costa Pinto S.A. since 1980, vice president of Pedro Ometto S.A. Administração e Participações since 1980, director of Cosan Portuária since 1998, chairman of the board of directors of FBA from 2001 until its merger into Corona, and is currently the chairman of the boards of Cosan, Comgás and Raízen. He also holds the position of director of UNICA, the Sugarcane Agroindustry Association of the State of São Paulo (UNICA—União da Agroindústria Canavieira do Estado de São Paulo). Prior to joining Cosan, Mr. Mello worked from 1971 to 1973 as an advisor to the board of executive officers of UNIBANCO União de Bancos Brasileiros S.A., and from 1973 to 1980 as chief financial officer of Indústrias Votorantim S.A.

Mr. Cordes has been a member of our board of directors since 2005 and of Cosan Limited’s board of directors since 2008. He graduated in business administration from Fundação Armando Álvares Penteado (1997) and he holds a master’s degree in finance from IBMEC-SP (2001). Mr. Cordes has worked in financial markets. He worked at Banco BBM S.A., a company owned by Grupo Mariani, where he worked at its commercial division focusing corporate and middle market segments. Before holding his current position, he had worked at IBM Brasil in its financial division. Mr. Cordes is Mr. Mello’s son-in-law.

Graduated in Statistics, with an MBA in Marketing from Coppead – UFRJ, he has over 20 years of professional experience, most of them at Shell, having worked in various executive functions in Brazil and abroad. Throughout his career, he also worked for other companies such as Banco Nacional, Brasil Telecom and Webb. He was Commercial Vice President of Raízen Combustíveis, Chief Executive and Investor Relations Officer of Comgás and Chief Executive Officer of Raízen. Since April 2020, he has held the position of CEO of Cosan Limited, Cosan S.A. and Cosan Logística.

Mr. Marcos is a senior professor of global agribusiness at INSPER. In the last four years, he has represented the main associations of Brazilian agricultural exporters in Asia, after supporting the expansion of BRF in that continent. He previously was the CEO of the Sugarcane Industry Union (UNICA) and the Institute for International Trade and Negotiations Studies (ICONE). He was a professor at the University of São Paulo, FEA and ESALQ, for 18 years, during which he studied and taught in Europe and the United States. He holds a degree in agronomy from the Luiz de Queiroz College of Agriculture (ESALQ), with a master’s degree, doctorate and free teaching in subjects related to economics and agribusiness management.

He was previously Technical Consultant and Chief of Project Analysis Department at Banco do Brasil; Coordination Chief of Economic Affairs of the Ministry of Industry and Commerce and Secretary General of the Ministry of Finance. He performed as the chief executive officer of the European Brazilian Bank—EUROBRAZ, in London. Mr. Nóbrega is also member of the board of directors of the following companies: Abyara Planejamento Imobiliário, CSU Cardsystem S.A., Grendene S.A., Portobello S.A., Rodobens Negócios Imobiliários S.A., TIM Participações S.A. and Veracel Celulose S.A.

She was a partner at Hirashima & Associados, where she led accounting and financial consulting services in corporate reorganizations and served as a consultant to the Foundation for Accounting, Actuarial and Financial Research – FIPECAFI. She was an alternate member of the Fiscal Council of Empresa Brasileira de Aeronáutica SA (Embraer) between 2007 and 2015 and controller in a group of companies of generation and commercialization of electric energy (Bolognesi Energia SA) from 2014 to 2016. She is currently administrative and financial manager of CELSE – Centrais Elétricas de Sergipe SA, company in the phase of construction of an electric power generation plant with installed capacity of 1.5 GW, and partner of Laplane Consultoria Econômica. Ms. Vanessa Claro Lopes holds a degree in system analysis from FATEC/BS (1995) and accounting sciences at Federal Fluminense University (2013), with specialization in computer networks at the University of São Judas Tadeu (1998) and business management at FGV (2004). With 20 years of professional experience, she is currently Chairman of the Fiscal Council of Via Varejo S/A and of the Audit Committee of Tegma S/A. She held the position of Internal Audit Director of TAM S/A Group between 2010 and 2014. She was previously responsible for the Internal Audit Department of Globex Utilidades S/A, known as Ponto Frio. She began her career in Systems Audit in 1995 at PricewaterhouseCoopers, having participated in the creation of the Consultants Group in Brazil for Telecom Network Services. She was responsible for the audit teams of Telefônica Group’s mobile telephony companies, between 2001 and 2004, having implemented at the time the Risk Mapping for all companies in the group in Brazil. During 2 years, she was a professor of systems audit and information security at Objetivo College between 1997 and 1998.

Mr. Henrique Aché is an engineer from the Military Engineering Institute (IME) in 1976, with a master’s degree in Transportation also from the IME in 1983 and a specialization completed by INSEAD (European Institute of Business Administration) in 2001. Mr. Henrique Aché works 35 years in the logistics area: Transport Manager of the Brazilian Mining Reunião SA (1986-1996); Director of Planning and Finance of MRS Logística S.A. (1997-2010) and Partners of CWH Consultoria Empresarial (2012-2013). He is currently a general consultant in the areas of logistics and infrastructure since 2012. Mr. Henrique Aché has not suffered, in the last five years, any conviction (i) criminal, although not yet final; (ii) in an administrative proceeding of the CVM, although not a final decision; or (iii) a final or unappealable decision, in the judicial or administrative sphere, that has suspended or disqualified him or her from practicing any professional or commercial activity. Mr. Francisco Morales holds a bachelor and master’s degree in Business Administration (FGV), having specialized courses in Brazil and the United States (Harvard and Stanford). He has worked for more than 35 years as a Director of Business Administration and Finance and Investor Relations (CFO and DRI) and member of Boards of Directors, Audit and Finance Committees of São Paulo Alpargatas, Santista Têxtil and Monsanto of Brazil, among other national and foreign companies. He is a founding partner of Vecte, expert advice on good corporate governance practices. He developed his career in international consulting firms such as Andersen, Accenture, Ernst & Young and KPMG. Throughout his career he has advised dozens of large Brazilian companies in improving their financial management, governance mechanisms, financial risk management, preparation for IPO’s, among other themes related to the growth in shareholders’ value protection. Mr. Lutz holds a naval engineering degree from Escola Politécnica of the University of São Paulo and a master’s degree in business administration from Kellogg Graduate School of Management, Northwestern University. From 2002 to 2006, Mr. Lutz was the executive director of infrastructure and energy at CSN (SID) and a board member of MRS Logística, CFN Railways, and Itá Energética. Before that, Mr. Lutz was the chief operating officer at Ultracargo S.A., the logistics affiliate of the Ultra Group.
